Welcome to FruitBuys Vietnam (owned by Wahapy Co., Ltd.). As a professional wholesale supplier of premium dried fruits and snacks, we value transparency and integrity in our business partnerships.

By accessing our website www.fruitbuys.com or placing an order with us, you agree to be bound by the following Terms and Conditions.

1. Definitions

• “We”, “Us”, “FruitBuys”: Refers to FruitBuys Vietnam (Wahapy Co., Ltd.), registered in Vietnam (Tax ID: 0315827805).
• “You”, “Buyer”, “Partner”: Refers to the person or business entity purchasing products from us.
• “Products”: Dried fruits, freeze-dried fruits, and healthy snacks listed on our catalog.
• “Contract”: The specific agreement formed when we send an Order Confirmation or sign a Sales Contract.

2. Business Relationship & Resale Rights

Unlike standard retail sites, FruitBuys Vietnam is primarily a B2B Wholesale Platform.

• Commercial Use Authorized: You are explicitly authorized to purchase our Products for commercial resale, distribution, or manufacturing purposes.
• Private Label (OEM): If you engage us for OEM services, specific terms regarding intellectual property and packaging will be outlined in a separate Manufacturing Agreement.
• Conflict of Terms: If a separate written Sales Contract is signed between you and FruitBuys, the terms of that Contract shall prevail over these website Terms.

3. Orders and Pricing

• Order Confirmation: All orders are subject to acceptance by FruitBuys. A contract is formed only when you receive our formal “Order Confirmation” email or Proforma Invoice.
• Pricing: Prices displayed on the website are generally Ex-Works (EXW) or FOB (unless stated otherwise). They do not include international shipping, insurance, or destination import taxes.
• Currency: Transactions are processed in USD.

4. Payment Terms

• Payment Methods: We accept Bank Transfer (T/T), PayPal, Wise, and Payoneer.
• Verification: To prevent fraud in high-value B2B transactions, we reserve the right to request business verification documents (KYC) before processing payments.
• Late Payment: For approved credit terms (if any), late payments may incur interest charges as per the specific invoice terms.

5. Shipping & Delivery

• Incoterms 2020: Unless otherwise agreed, standard shipping operates under DAP (Delivered at Place) or CIF (Cost, Insurance, Freight).
• Importer of Record: You (the Buyer) are responsible for customs clearance and payment of all Import Duties & Taxes at the destination.
• Inspection Period: You must inspect the goods upon arrival. Any claims regarding visible damage or quantity shortage must be reported within 3 business days of receipt.

6. Quality Guarantee & Claims (Returns)

Given the perishable nature of food products, our policy focuses on Compensation rather than physical returns.

• Food Safety: We generally do not accept returns of food items once they have left our control chain, to strictly adhere to HACCP/ISO standards.
• Claim Resolution: If products are proven to be defective or damaged (due to our fault), we will offer a Replacement, Refund, or Store Credit.
• Time Limit: Hidden quality defects must be reported within 7 business days of delivery.

7. Storage & Liability

• Storage Responsibility: Upon delivery, the risk of loss or damage transfers to the Buyer. You are responsible for storing products in appropriate conditions (cool, dry place, sealed). FruitBuys is not liable for spoilage caused by improper storage after delivery.
• Limitation of Liability: Our total liability for any claim arising out of the contract shall not exceed the price of the goods supplied. We are not liable for indirect or consequential losses (e.g., loss of profit).

8. Intellectual Property

• Our Content: All content on this website (images, text, logos) is the property of FruitBuys Vietnam.
• Your License: We grant authorized distributors a limited license to use our product images and marketing materials for the sole purpose of promoting FruitBuys products.

9. Force Majeure

FruitBuys Vietnam shall not be liable for delay or failure to perform obligations due to events beyond our reasonable control, including but not limited to: Acts of God (typhoons, floods), war, port congestion, or government export restrictions.

10. Governing Law

These Terms are governed by the laws of Vietnam. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.
